Effective Date: July 01, 2026
These Terms of Service (“Terms”) govern your access to and use of arroxstudio.com (the “Site”) and any design, development, marketing, advertising, automation, or related services (collectively, the “Services”) provided by Arrox Digital Ltd., operating as Arrox Creative Studio (“Arrox,” “we,” “us,” or “our”). By accessing the Site, submitting an inquiry, signing a proposal or statement of work, or otherwise engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Site or engage our Services.
Arrox Creative Studio is a design and technology studio offering website design and development, branding and visual identity, social media design, paid advertising (Meta, Google, and related platforms), email marketing and automation, AI setup and automation, data analysis and marketing strategy, video editing, and SEO services. We are based in Vancouver, British Columbia, Canada.
You may browse the Site and its content for personal, non-commercial informational purposes. You agree not to:
Copy, reproduce, or republish Site content without our written permission
○ Use the Site in any way that could damage, disable, or impair it
○ Attempt to gain unauthorized access to any part of the Site or its underlying systems
○ Use automated tools (scrapers, bots) to extract content without consent
All content on the Site — including copy, design, layouts, graphics, and branding — is the property of Arrox or our licensors and is protected by copyright and trademark law, unless otherwise noted.
Project work is governed by an individually agreed proposal, statement of work, or service agreement (a “SOW”) between you and Arrox. Where a SOW conflicts with these Terms, the SOW controls for that engagement. In the absence of a signed SOW, these Terms alone govern any Services rendered.
For one-time projects (e.g., website builds, branding, software builds), the SOW will define deliverables, timeline, revision rounds, and payment schedule. Typical structure is a deposit due before work begins, with the remaining balance due at milestones or upon completion, as specified in your SOW.
For ongoing services (e.g., paid ads management, email marketing, AI automation, SEO), Services are billed on a recurring monthly basis as set out in your SOW. Retainers renew automatically each billing cycle unless cancelled in accordance with Section 6.
○ All fees are quoted in the currency specified in your SOW and are exclusive of applicable taxes unless stated otherwise.
○ Invoices are due upon receipt unless otherwise agreed in writing.
○ Late payments may result in a pause of active work until the account is brought current.
○ Third-party costs (ad spend, software licenses, stock assets, domain/hosting fees, contractor production costs) are billed separately or passed through at cost unless your SOW states they are included.
○ Deposits and payments for work already performed are non-refundable, except as required by law or as separately agreed in writing.
Each SOW specifies the number of included revision rounds for creative and development deliverables. Additional revisions beyond the agreed scope may be billed at our then-current hourly rate. Client is responsible for reviewing and approving deliverables in a timely manner; delays in feedback may extend project timelines accordingly.
○ Project-based engagements conclude upon delivery and final payment of the agreed deliverables.
○ Retainer engagements continue on a month-to-month basis unless a minimum term is specified in your SOW.
○ Either party may cancel a retainer engagement with written notice as specified in the SOW (typically 30 days). Cancellation does not entitle Client to a refund of fees already paid for the current billing period.
○ Arrox reserves the right to terminate any engagement, with reasonable notice, for non-payment, abusive conduct, or requests that would require us to act unlawfully or unethically.
Upon full payment for a project, Client receives ownership of the final approved deliverables created specifically for that project (e.g., final website files, final brand assets, final ad creative), unless otherwise stated in the SOW.
Arrox retains ownership of:
○ Preliminary concepts, drafts, and unused creative directions
○ Proprietary tools, templates, frameworks, workflows, and internal processes used to deliver the Services
○ The right to display completed work in our portfolio, case studies, and marketing materials, unless Client requests confidentiality in writing
Third-party assets (stock photography, licensed fonts, plugins, third-party software) remain subject to their original license terms and are not owned by either party.
You agree to provide timely access to necessary accounts, credentials, brand assets, content, and feedback required for us to perform the Services. Delays caused by Client’s failure to provide these may extend timelines and will not be considered a breach by Arrox.
Where Services involve managing accounts on third-party platforms (Meta, Google, email service providers, etc.), Client remains the account owner and is bound by that platform’s own terms of service. Arrox is not responsible for platform outages, algorithm changes, account suspensions, or policy enforcement actions taken by third-party platforms, though we will make commercially reasonable efforts to resolve such issues on Client’s behalf.
Marketing, advertising, SEO, and automation outcomes depend on factors outside our control, including market conditions, platform algorithms, and Client’s own business execution. We do not guarantee specific results (e.g., revenue, rankings, conversion rates, lead volume). Any projections we provide are estimates based on experience and available data, not commitments.
Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the Services, and to use such information solely to perform its obligations under these Terms.
To the maximum extent permitted by law, Arrox Digital Ltd.’s total liability arising out of or relating to the Services shall not exceed the total fees paid by Client to Arrox in the three (3) months preceding the claim. In no event shall Arrox be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if advised of the possibility of such damages.
You agree to indemnify and hold Arrox harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or content you provide to us for use in deliverables (including any infringement of third-party rights).
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Vancouver, British Columbia, Canada.
We may update these Terms from time to time. Material changes will be reflected by an updated “Effective Date” above. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
